1. Acceptance of Terms

By accessing or using HeySales ("Service," "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

HeySales provides a cloud-based revenue intelligence platform that includes CRM functionality, sales automation, AI-powered insights, forecasting tools, and related features designed to help sales teams improve performance and close more deals.

3. Account Registration

To use the Service, you must:

• Be at least 18 years old
• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breach
• Be responsible for all activities under your account

4. Subscription and Payment

Subscription Plans: We offer various subscription tiers with different features and pricing.

Billing: Subscriptions are billed in advance on a monthly or annual basis. Payment is due at the start of each billing cycle.

Free Trials: Free trials are available for new users. At the end of the trial, you will be automatically charged unless you cancel before the trial ends.

Refunds: Refunds are provided at our discretion. Monthly subscriptions are non-refundable after the billing date. Annual subscriptions may be prorated if canceled within the first 30 days.

Price Changes: We may change subscription prices with 30 days' notice.

5. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload viruses, malware, or malicious code
• Attempt to gain unauthorized access to systems
• Interfere with the Service's operation
• Scrape or harvest data without permission
• Resell or redistribute the Service
• Use the Service for spam or fraudulent activities
• Reverse engineer or attempt to extract source code

6. Data and Intellectual Property

Your Data: You retain ownership of all data you input into the Service. You grant us a license to use, process, and store your data solely to provide the Service.

Our IP: The Service, including all software, designs, text, graphics, and other materials, is owned by HeySales and protected by intellectual property laws.

Aggregated Data: We may use anonymized, aggregated data for analytics, product improvement, and research purposes.

7. Service Level and Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may perform maintenance and updates that temporarily affect availability. We are not liable for service interruptions caused by factors beyond our control.

8. Third-Party Integrations

The Service may integrate with third-party services (Salesforce, HubSpot, Google, Zoom, etc.). Your use of third-party services is governed by their terms and privacy policies. We are not responsible for third-party service availability or functionality.

9. Termination

By You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

By Us: We may suspend or terminate your account for violations of these Terms, non-payment, or any reason with 30 days' notice.

Data Retention: After termination, we will retain your data for 90 days before permanent deletion, unless required by law to retain longer.

10. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEYSALES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold HeySales harmless from any claims, losses, damages, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of third-party rights.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Disputes shall be resolved through binding arbitration, except where prohibited by law.

14. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance.
